Terms and Condition Geoma Mega

Geoma Mega shall continue to operate as an active Distributor throughout the term of this Agreement.

The Geoma Mega (PDC-1) shall be appointed by Geoma Business Corporation Private Limited as a primary product supplier within the assigned State/District.

The PDC-1 (Geoma Mega) shall function as a supply hub for PDC-2 (Geoma Mini), PDC-3 (Geoma Micro) and Home Shoppe outlets, and shall also operate as a retail outlet to serve end consumers within the designated territory assigned by the Company.

The PDC-1 (Geoma Mega) must be an authorized distributor of Geoma Business Corporation Private Limited.

The PDC-1 (Geoma Mega) must maintain an active distributorship with the Company.

The PDC-1 (Geoma Mega) must achieve a minimum of 1,000 TP (Trading Point) per month.

The PDC-1 (Geoma Mega) shall maintain a minimum stock value of ₹50,00,000 (Fifty Lakhs Only) to ensure uninterrupted supply operations.

The required operational area shall be approximately 1,500 to 2,000 sq.ft.

The PDC-1 (Geoma Mega) shall be responsible for setting up necessary infrastructure including but not limited to computers, printers, stationery, billing systems, vouchers, receipts, shelving, furnishing, carpentry, interior works, security arrangements, and other operational requirements as per Company specifications.

The PDC-1 (Geoma Mega) shall strictly follow the FIFO (First-In, First-Out) system for inventory management and distribution.

Products must be stored in designated categories and shall not be mixed under any circumstances to avoid contamination or damage.

Proper segregation shall be maintained for food products, cosmetics, fragrances, cleaning materials, and other product categories.

Monthly indents/orders must be submitted to the Company at least 15 days in advance.

Orders must clearly mention serial number, product code, product name, quantity, delivery location, and payment details including RTGS/NEFT/reference numbers.

Products must be carefully handled and delivered in segregated packaging based on category and nature of goods.

The PDC-1 (Geoma Mega) shall ensure safe handling equivalent to storage standards maintained at the outlet.

All promotional offers, schemes, and business plans announced by the Company must be implemented exactly as communicated.

Under no circumstances shall offers be modified, bundled, split, or altered.

The PDC-1 (Geoma Mega) shall maintain adequate inventory to avoid stock shortages.

Products shall be classified into fast-moving and regular-moving categories for efficient stock planning and management.

The PDC-1 (Geoma Mega) shall maintain high standards of professionalism, cleanliness, product display, staff behavior, and customer service.

The reputation and interest of Geoma Business Corporation Private Limited shall be upheld at all times.

The PDC-1 (Geoma Mega) shall collect customer feedback regarding product quality, performance, and deficiencies and report the same to the Company.

Expiry-related information must be communicated at least three (3) months in advance.

The Company shall not accept returns of expired goods under any circumstances.

All Company plans and offers must be communicated to downstream outlets and consumers promptly.

The PDC-1 (Geoma Mega) must ensure compliance with all Company directives and rectify complaints within a reasonable timeframe.

The Company reserves the right to suspend or terminate operations in case of non-compliance or unresolved complaints.

The PDC-1 (Geoma Mega) shall be entitled to a 30% commission on Bonus Points as well as Trading Points, subject to applicable TDS deductions.

Commission payments shall be credited to the registered bank account after statutory deductions.

The commission shall be distributed as per the prescribed company payout schedule.

The PDC-1 (Geoma Mega) shall deposit an interest-free security deposit of ₹1,00,000 (One Lakh Only) with the Company.

The deposit shall be refunded upon termination of the agreement, subject to adjustment of any outstanding dues, damages, or liabilities.

The PDC-1 (Geoma Mega) should submit Indent/Order clearly mentioning SL.No, product code, name of product, quantity, place of delivery along with the payment proof, reference number of RTGS/NEFT/Money Transfer along with the said Indent/Order.

The PDC-1 (Geoma Mega) must ensure that business should not affected by short supply of products. They have to categorize products into fast moving items and normal moving items and should maintain inventory according to the priority movement of products.

The PDC-1 (Geoma Mega) should carry out all business activities related to Geoma Business Corporation Private Limited with utmost care, sincerity and high standards in every area such as keeping the outlet extensively neat and clean, proper maintenance of displays, arrangement of products in an organized manner, good behavior of staff members, excellent customer service, etc. They must ensure that interest and reputation of Geoma Business Corporation Private Limited stays always on top.

The PDC-1 (Geoma Mega) should place Indent/Order to Geoma Business Corporation Private Limited after considering the inventory and requirement of PDC-2 (Geoma Mini), and PDC-3 (Geoma Micro).

The PDC-1 (Geoma Mega) must provide excellent quality service to Consumers.

The PDC-1 (Geoma Mega) should be capable to infuse additional investment if the monthly sale of outlet is enhanced month over month where there is a need to procure additional stocks.

The PDC-1 (Geoma Mega) should rectify and correct on receiving any information from Geoma Business Corporation Private Limited about any complaints of PDC-2 (Geoma Mini), PDC-3 (Geoma Micro) and Consumers about PDC-1 (Geoma Mega). Geoma Business Corporation Private Limited has the authority to ban such PDC-1 (Geoma Mega) either temporarily or permanently if the said complaint is not redressed properly within the prescribed reasonable timeline.

Apart from GEOMA products, which carry Bonus Points, Mega, Micro, and Mini Stores are permitted to sell up to 40% traditional products with prior approval from the company.

These traditional products will carry Royalty Points, and the accumulated Royalty Points will be distributed among GEOMA distributors through the Passive Income Plan.

This system is designed to create additional earning opportunities and ensure long-term Stock Allotment Program income benefits for the GEOMA distributor network.

This Agreement shall be printed and executed on a ₹200 (Rupees Two Hundred) non-judicial stamp paper. Any dispute, controversy, claim, or proceeding arising out of or relating to this Agreement or the relationship between the Parties shall be subject to the exclusive jurisdiction of the courts and competent authorities situated in Coimbatore, Tamil Nadu, and no other court shall have jurisdiction in respect thereof.

The Company reserves the absolute right to modify, amend, revise, suspend, or withdraw any offer, scheme, policy, term, or condition at its sole discretion, at any time and without prior notice. Such changes shall be binding on all participants from the effective date determined by the Company.
