Geoma Micro (PDC-3) Plan Clauses

1

Geoma Mega shall continue to operate as an active Distributor throughout the term of this Agreement.

Geoma Business Corporation Private Limited shall appoint Geoma Micro (PDC-3) as an authorized supplier within the designated State or District.

Geoma Micro (PDC-3) shall function as an authorized retail outlet of Geoma Business Corporation Private Limited for the purpose of serving consumers within the territory allocated by Geoma Business Corporation Private Limited.

Geoma Micro (PDC-3) shall be appointed as an authorized distributor of Geoma Business Corporation Private Limited and shall carry out its distribution activities in accordance with the Company's policies and guidelines.

Geoma Micro (PDC-3) shall achieve and maintain a minimum Trading Point (TP) of 1,000 points on a monthly basis.

Geoma Micro (PDC-3) shall maintain a minimum stock inventory valued at ₹5,00,000 at its outlet at all times to facilitate the efficient and continuous supply of products. The premises designated for the operation of a Geoma Micro (PDC-3) outlet shall comprise an area of approximately 500–600 square feet.

Geoma Micro (PDC-3) shall, at its own cost, procure, install, and maintain all infrastructure, equipment, fixtures, and facilities required for the operation of the outlet, including but not limited to computers, printers, stationery, vouchers, receipts, bill books, furniture, carpentry works, interior works, shelves, glass panels, partitions, entrance and access doors, security checkpoints, and categorized inventory storage areas, in strict compliance with the specifications, standards, and guidelines issued by Geoma Business Corporation Private Limited from time to time.

Geoma Micro (PDC-3) shall ensure that all products are issued and supplied to consumers in accordance with the FIFO (First In, First Out) inventory management principle, thereby facilitating proper stock rotation and minimizing product obsolescence or expiry.

Geoma Micro (PDC-3) shall submit monthly reports and claims pertaining to product leakage, damage, or defects. Geoma Business Corporation Private Limited shall consider replacement only for products affected by manufacturing defects, defects attributable to the supplier/vendor, or damage sustained during transportation. Approved replacement products shall be supplied within a reasonable timeframe. No claims arising from improper handling, storage, negligence, or any other cause not expressly stated herein shall be accepted or considered by Geoma Business Corporation Private Limited.

Geoma Micro (PDC-3) shall ensure that all products are sorted and stored only in the racks or designated areas specifically assigned for their respective categories and nature. Food products shall be stored exclusively in the designated food storage area, and cosmetics or fragrances shall not be stored alongside food items. Similarly, cosmetic products shall not be stored together with floor-cleaning products or any other incompatible categories. Under no circumstances shall products from different categories be mixed, as such practices may lead to product contamination, damage, or spoilage.

Geoma Micro (PDC-3) shall exercise due care while delivering products to consumers and ensure that the same storage and handling standards maintained at the outlet are followed during delivery. Prior to dispatch, products shall be sorted according to their category and nature, and packed separately in appropriate covers or packages. Food products shall be packed separately from cosmetics, fragrances, floor-cleaning products, and other categories. Each category of product shall be delivered in separate packaging to prevent contamination, damage, or spoilage and to maintain product quality and safety.

Geoma Micro (PDC-3) shall implement and operate all promotional offers strictly in accordance with the terms and conditions announced by Geoma Business Corporation Private Limited. Under no circumstances shall any offer be modified, bundled with other offers, split into separate components, or otherwise altered in any manner without the prior written approval of Geoma Business Corporation Private Limited.

Geoma Micro (PDC-3) shall submit its indent/order requirements for the succeeding month to Geoma Business Corporation Private Limited at least 15 days in advance.

Geoma Micro (PDC-3) shall submit its indent/order in a clear and complete manner, specifying the serial number, product code, product name, quantity required, and delivery location. The indent/order shall also be accompanied by proof of payment, including the relevant RTGS, NEFT, or other money transfer reference number and supporting transaction details. Geoma Business Corporation Private Limited reserves the right to withhold processing of any order that is incomplete or unsupported by the required payment documentation.

Geoma Micro (PDC-3) shall ensure that its business operations are not adversely affected by shortages or stock-outs of products. To achieve this, it shall classify products into fast-moving and normal-moving categories and maintain adequate inventory levels based on the demand and movement pattern of each product category. Geoma Micro (PDC-3) shall regularly monitor stock levels and undertake timely replenishment to ensure uninterrupted product availability and efficient business operations.

Geoma Micro (PDC-3) shall conduct all business activities relating to Geoma Business Corporation Private Limited with the highest standards of care, professionalism, integrity, and diligence. This shall include, but not be limited to, maintaining the outlet in a clean, hygienic, and well-organized condition, ensuring proper maintenance and presentation of displays, arranging products systematically, promoting courteous and professional behavior among staff members, and delivering excellent customer service at all times. Geoma Micro (PDC-3) shall at all times act in a manner that protects, promotes, and enhances the goodwill, interests, and reputation of Geoma Business Corporation Private Limited.

Geoma Micro (PDC-3) shall actively obtain and monitor customer feedback regarding product quality, performance, improvements, and any deficiencies or concerns. Being in close contact with consumers, Geoma Micro (PDC-3) shall promptly communicate such feedback, suggestions, market insights, and product-related observations to Geoma Business Corporation Private Limited to facilitate continuous product improvement, customer satisfaction, and business growth.

Geoma Micro (PDC-3) shall regularly monitor the shelf life and expiry dates of all products in its inventory and shall notify Geoma Business Corporation Private Limited of any products approaching expiry at least three (3) months prior to their expiry date. Geoma Micro (PDC-3) shall take all reasonable and necessary steps to ensure the timely sale, distribution, or liquidation of such products to minimize losses, prevent wastage, and maintain product quality standards.

Geoma Business Corporation Private Limited shall not be liable to replace, exchange, or compensate for any product remaining in the inventory of a Geoma Micro (PDC-3) outlet after the product's expiry date. The responsibility for monitoring product shelf life, managing inventory, and ensuring timely sale or liquidation of products prior to expiry shall rest solely with Geoma Micro (PDC-3).

Geoma Micro (PDC-3) shall ensure that all promotional plans, schemes, offers, and marketing initiatives announced by Geoma Business Corporation Private Limited are effectively communicated to consumers in a timely manner and well in advance of their implementation or validity period. Geoma Micro (PDC-3) shall take all reasonable steps to maximize consumer awareness and participation in such plans and offers.

Geoma Micro (PDC-3) shall place its indent/orders with Geoma Business Corporation Private Limited only after carefully assessing its inventory levels, sales trends, and anticipated market demand. Geoma Micro (PDC-3) shall ensure that orders are placed based on actual business requirements to maintain optimal stock levels, avoid overstocking or stock shortages, and facilitate efficient inventory management.

Geoma Micro (PDC-3) shall provide consumers with high-quality service at all times and shall strive to ensure a positive customer experience through professionalism, courtesy, responsiveness, and efficient handling of consumer needs and concerns. Geoma Micro (PDC-3) shall maintain service standards that uphold and enhance the reputation and goodwill of Geoma Business Corporation Private Limited.

Geoma Micro (PDC-3) shall maintain adequate financial capacity and be prepared to make additional investments as and when required to support the growth of its business operations. In the event of a month-on-month increase in sales volume, Geoma Micro (PDC-3) shall ensure the availability of sufficient working capital to procure additional inventory and maintain uninterrupted product availability to meet customer demand.

Geoma Micro (PDC-3) shall promptly investigate, rectify, and resolve any consumer complaints or grievances communicated by Geoma Business Corporation Private Limited. Upon receipt of such information, Geoma Micro (PDC-3) shall take all necessary corrective actions and ensure that the complaint is addressed satisfactorily within a reasonable period prescribed by Geoma Business Corporation Private Limited. In the event of failure to adequately resolve or redress the complaint within the stipulated timeframe, Geoma Business Corporation Private Limited shall have the right, at its sole discretion, to suspend, restrict, or permanently terminate the operations and association of the concerned Geoma Micro (PDC-3).

Geoma Business Corporation Private Limited shall pay a commission of ten percent (10%) on the applicable Trading Point (TP) to the concerned Geoma Micro (PDC-3) in accordance with the Company's prevailing policies and procedures. The commission amount shall be remitted directly to the designated bank account of the Geoma Micro (PDC-3) after deduction of Tax Deducted at Source (TDS) and any other statutory deductions, as applicable under the prevailing laws and regulations.

Geoma Micro (PDC-3) shall remit an interest-free caution deposit of ₹25,000/- (Rupees Twenty-Five Thousand Only) to Geoma Business Corporation Private Limited at the commencement of this Agreement. The said caution deposit shall be refundable upon termination or expiry of the Agreement, subject to deduction of any outstanding dues, damages, liabilities, claims, or other amounts payable by Geoma Micro (PDC-3) to Geoma Business Corporation Private Limited, if any.

Geoma Business Corporation Private Limited shall provide the Geoma Micro (PDC-3) with an online billing software system, display stand(s), and a name board for the purpose of facilitating business operations and maintaining brand identity and uniformity. The Geoma Micro (PDC-3) shall use and maintain such assets in good condition and solely for authorized business activities related to Geoma Business Corporation Private Limited.

Apart from GEOMA products, which carry Bonus Points, Mega, Micro, and Mini Stores are permitted to sell up to 40% traditional products with prior approval from the company.

These traditional products will carry Royalty Points, and the accumulated Royalty Points will be distributed among GEOMA distributors through the Stock Allotment Program.

This system is designed to create additional earning opportunities and ensure long-term passive income benefits for the GEOMA distributor network.

This Agreement shall be printed and executed on a ₹200 (Rupees Two Hundred) non-judicial stamp paper. Any dispute, controversy, claim, or proceeding arising out of or relating to this Agreement or the relationship between the Parties shall be subject to the exclusive jurisdiction of the courts and competent authorities situated in Coimbatore, Tamil Nadu, and no other court shall have jurisdiction in respect thereof.

The Company reserves the absolute right to modify, amend, revise, suspend, or withdraw any offer, scheme, policy, term, or condition at its sole discretion, at any time and without prior notice. Such changes shall be binding on all participants from the effective date determined by the Company.

Official Legal Document Notice: All terms, operational policies, stock covenants, and commission structures stated above are governed by the bylaws of GEOMA Business Corporation Private Limited. Disputes, if any, shall be subject exclusively to the courts of Coimbatore, Tamil Nadu.
