Terms and Condition Geoma Mini

Geoma Mega shall continue to operate as an active Distributor throughout the term of this Agreement.

Geoma Business Private Limited reserves the right to appoint GEOMA MINI (PDC-2) as an authorized supplier within a specified State or District, subject to the terms and conditions prescribed by the Company.

The GEOMA MINI (PDC-2) outlet shall be responsible for supplying products to GEOMA MICRO (PDC-3) outlets and shall function as an authorized retail outlet of Geoma Business Corporation Private Limited, providing products and services to consumers within the designated area allocated by the Company.

To qualify as a GEOMA MINI (PDC-2), the applicant shall be a duly registered distributor of Geoma Business Corporation Private Limited.

To qualify and maintain GEOMA MINI (PDC-2) status, the distributor shall accumulate a minimum of 1,000 TP (Trading Point) in personal monthly volume.

The GEOMA MINI (PDC-2) outlet shall maintain a minimum inventory of products valued at ₹15,00,000 (Rupees Fifteen Lakhs) to ensure the uninterrupted and efficient supply of products. The outlet premises shall have an operational area of approximately 750 to 1,000 square feet to effectively conduct its business operations.

The GEOMA MINI (PDC-2) shall, at its own cost, arrange and maintain computers, printers, stationery, vouchers, receipts, bill books, furnishings, carpentry work, interior fit-outs, shelving systems, glass panels, partitions, entrances and doors, security checkpoints, categorized storage areas, and all other infrastructure and facilities required for the outlet, in accordance with the specifications, standards, and guidelines prescribed by Geoma Business Corporation Private Limited.

The GEOMA MINI (PDC-2) shall maintain and distribute inventory in accordance with the FIFO (First In, First Out) principle and shall ensure that products are supplied to GEOMA MICRO (PDC-3) outlets and consumers using this method at all times.

The GEOMA MINI (PDC-2) shall submit, on a monthly basis, all claims relating to product leakage, damage, or deficiencies. Product replacement shall be considered only in cases of manufacturing defects, supplier/vendor-related defects, or damage incurred during transportation. Such eligible products shall be replaced within a reasonable period of time. Any claims arising from causes other than those specified herein shall not be accepted, considered, or compensated by Geoma Business Corporation Private Limited.

The GEOMA MINI (PDC-2) shall ensure that all products are properly sorted, categorized, and stored only in the designated racks or storage areas assigned for their respective categories within the outlet. Food products shall be stored exclusively in the designated food storage area and shall not be placed together with cosmetics, fragrances, cleaning products, or any other incompatible product categories. Similarly, cosmetic products shall not be stored alongside floor-cleaning products or other chemical-based items. The mixing of different product categories is strictly prohibited under all circumstances to prevent contamination, spoilage, deterioration of product quality, and potential safety hazards. The GEOMA MINI (PDC-2) shall maintain proper storage standards and inventory management practices at all times.

The GEOMA MINI (PDC-2) shall exercise due care while handling and delivering products to consumers and shall ensure that products are transported in the same condition and manner in which they are stored at the outlet. Prior to delivery, products shall be properly sorted, categorized, packed, and dispatched in separate packages according to their nature and category. Food products shall be packed separately from cosmetics, fragrances, cleaning products, and other product categories. Likewise, floor-cleaning products and other chemical-based items shall be packed independently to prevent contamination, spoilage, damage, or deterioration of product quality. The GEOMA MINI (PDC-2) shall ensure compliance with these packaging and handling standards at all times.

The GEOMA MINI (PDC-2) shall implement and administer all promotional offers, schemes, discounts, and programs strictly in accordance with the terms and conditions announced by Geoma Business Corporation Private Limited. Under no circumstances shall any offer be modified, bundled, split, altered, substituted, or otherwise manipulated. The GEOMA MINI (PDC-2) shall ensure that all offers are executed exactly as prescribed by the Company and communicated to consumers without any deviation.

The GEOMA MINI (PDC-2) shall submit its indent/order for the succeeding month to Geoma Business Corporation Private Limited at least 15 days in advance.

The GEOMA MINI (PDC-2) shall submit its Indent/Order in the prescribed format, clearly specifying the serial number, product code, product name, quantity required, and place of delivery. The Indent/Order shall be accompanied by proof of payment, including the relevant RTGS, NEFT, or other money transfer reference number and supporting transaction details. Incomplete orders or orders submitted without the required payment details and supporting documents may not be processed by Geoma Business Corporation Private Limited.

The GEOMA MINI (PDC-2) shall ensure that business operations are not adversely affected due to product shortages or inadequate inventory levels. To maintain uninterrupted product availability, the outlet shall classify products into fast-moving and normal-moving categories and maintain adequate stock levels based on their respective demand and turnover rates. The GEOMA MINI (PDC-2) shall implement effective inventory planning and stock management practices to ensure the continuous availability of products and efficient customer service.

The GEOMA MINI (PDC-2) shall conduct all business activities related to Geoma Business Private Limited with the utmost care, diligence, integrity, and professionalism. The outlet shall maintain high operational standards at all times, including but not limited to ensuring cleanliness and hygiene of the premises, proper maintenance of displays, systematic arrangement of products, courteous and professional conduct of staff members, and the delivery of excellent customer service. The GEOMA MINI (PDC-2) shall take all necessary measures to protect, promote, and uphold the goodwill, reputation, interests, and brand image of Geoma Business Corporation Private Limited and shall ensure that the Company's standards and values are consistently maintained.

The GEOMA MINI (PDC-2), being in close contact with consumers, shall actively collect and monitor customer feedback regarding product quality, performance, improvements, suggestions, and any deficiencies or complaints. The GEOMA MINI (PDC-2) shall promptly communicate such feedback, observations, and market insights to Geoma Business Corporation Private Limited to support continuous product improvement, customer satisfaction, and business development.

The GEOMA MINI (PDC-2) shall continuously monitor the shelf life and expiry dates of all products in its inventory and shall notify Geoma Business Private Limited at least three (3) months prior to the expiry date of any product. The GEOMA MINI (PDC-2) shall also take all reasonable and necessary steps to liquidate, distribute, or sell such products in an expeditious manner before their expiry, in accordance with the Company's policies and applicable regulatory requirements.

Geoma Business Corporation Private Limited shall not accept, replace, exchange, or provide any compensation for products held by a GEOMA MINI (PDC-2) outlet after the expiry date of such products. It shall be the sole responsibility of the GEOMA MINI (PDC-2) to monitor inventory, manage stock rotation, and ensure the timely sale or disposal of products before their expiry date.

The GEOMA MINI (PDC-2) shall ensure that all plans, promotional schemes, offers, announcements, and communications issued by Geoma Business Private Limited are promptly and effectively disseminated to GEOMA MICRO (PDC-3) outlets and consumers within its assigned territory. The GEOMA MINI (PDC-2) shall take all reasonable steps to ensure that such information reaches the intended recipients well in advance and is communicated accurately and in accordance with the Company's guidelines.

The GEOMA MINI (PDC-2) shall place its Indent/Order with Geoma Business Corporation Private Limited after carefully assessing its existing inventory levels and the product requirements of GEOMA MICRO (PDC-3) outlets within its assigned territory. The GEOMA MINI (PDC-2) shall ensure accurate demand forecasting and inventory planning to maintain adequate stock levels and facilitate the uninterrupted supply of products.

The GEOMA MINI (PDC-2) shall provide consumers with high-quality service at all times and shall ensure a professional, courteous, and customer-focused approach in all interactions. The GEOMA MINI (PDC-2) shall strive to achieve the highest standards of customer satisfaction by delivering prompt service, addressing consumer concerns efficiently, and maintaining the quality and integrity of the products and services offered.

The GEOMA MINI (PDC-2) shall have the financial capacity and operational readiness to make additional investments whenever required to support business growth. In the event of a month-on-month increase in sales volume, the GEOMA MINI (PDC-2) shall ensure the availability of adequate working capital to procure additional inventory and maintain sufficient stock levels to meet market demand and ensure uninterrupted business operations.

Geoma Business Corporation Private Limited shall provide a commission of twenty percent (20%) on the applicable Trading Point and Bonus Points to the concerned PDC-2 (Medium) in accordance with the Company's prevailing compensation structure. Such commission shall be remitted directly to the designated bank account of the PDC-2 (Medium) after deducting applicable Tax Deducted at Source (TDS) and any other statutory deductions as required under applicable laws and regulations.

The PDC-2 (Medium) shall remit an interest-free caution deposit of ₹1,00,000 (Rupees One Lakh only) to Geoma Business Private Limited. Upon termination or expiry of this Agreement, the caution deposit shall be refunded to the PDC-2 (Medium), subject to the deduction of any outstanding dues, damages, liabilities, claims, penalties, or other amounts payable to the Company, if any. The balance amount, if any, shall be refunded in accordance with the Company's policies and procedures.

Geoma Business Corporation Private Limited shall provide the PDC-2 with the Company's approved online billing software, display stand(s), and name board(s) for the purpose of conducting business operations and maintaining brand uniformity. The PDC-2 shall use and maintain such assets in accordance with the guidelines and specifications prescribed by the Company.

Apart from GEOMA products, Mega, Micro, and Mini Stores are permitted to sell up to 40% traditional products with prior approval from the company.

These traditional products will carry Royalty Points, and the accumulated Royalty Points will be distributed among GEOMA distributors through the Stock Allotment Program.

This system is designed to create additional earning opportunities and ensure long-term passive income benefits for the GEOMA distributor network.

This Agreement shall be printed and executed on a ₹200 (Rupees Two Hundred) non-judicial stamp paper. Any dispute, controversy, claim, or proceeding arising out of or relating to this Agreement or the relationship between the Parties shall be subject to the exclusive jurisdiction of the courts and competent authorities situated in Coimbatore, Tamil Nadu, and no other court shall have jurisdiction in respect thereof.

The Company reserves the absolute right to modify, amend, revise, suspend, or withdraw any offer, scheme, policy, term, or condition at its sole discretion, at any time and without prior notice. Such changes shall be binding on all participants from the effective date determined by the Company.
